Effective from 30 December 2019

In order to protect the quality image of products sold under the trademark, Sinvou is republishing its online advertising policy from 30 December 2019, which will be effective from 30 December 2019 (the "Policy").

The Policy is as follows:

1. Sinvou will sell products only to those Distributors or qualified Resellers who, in the sole discretion of Sinvou, do not diminish or otherwise harm any of the Brands. The following are examples of conduct that Sinvou believes diminish the Brand:

A. advertising or marketing any of the Brands in any way that disparages misrepresents or injures any Brand; and/or
B. advertising or marketing products through online or print advertising methods at deeply discounted prices (e.g., discounted more than 20% from the applicable company's lowest published coded catalog prices at the applicable company’s highest published catalog quantities or temporarily reduced promotional prices; and/or
C. using any Brand products in any illegal, deceptive, undesirable, or improper advertising, marketing or selling practice, including predatory or “loss leader” pricing, bait and switch, or negative selling practices.

2. The Brand products are for sale only through the promotional products industry. They are not intended for sale through electronic retail channels (i.e. eBay, Amazon.com, etc.).

This Policy represents a unilateral statement of its intent in selling, or continuing to sell, its respective products, and is not a contract for the sale of products, nor an offer to form a contract. Sinvou is not asking for, and will not accept, any agreement about a Distributor’s compliance with this Policy. Rather, this Policy reflects the Sinvou decision on how best to advertise and market their respective products, including the decision to sell to only those Distributors who are committed to furthering the Brands, and appropriate product positioning.

If Sinvou discovers a Distributor engaging in any practice inconsistent with this Policy, it may unilaterally decide, in its sole discretion, to terminate its business relationship with that Distributor in whole or in part. Sinvou reserves the right, in its sole discretion, to choose those Distributors with whom it will do business for Brand products.

Except as specifically authorized by Sinvou, Sinvou Company sales representatives are strictly prohibited from discussing this Policy or any advertising, pricing, or product positioning practice with any Distributor, and from seeking or accepting any assurance of compliance with this Policy. All questions regarding this Policy shall be directed, in writing, to sale@sinvou.com with "Policy for Online Advertising" in the subject line.

Sinvou does not seek any comments from any Distributor about the advertising, pricing, or product positioning practices of any other Distributor. Further, Sinvou will not, under any circumstances, discuss the business dealings of any Distributor with any other Distributor. Sinvou reserve the right to change, amend, or discontinue this Policy at any time.

Product Safety Statement Concerning Sinvou’s Products and California Proposition 65 Chemicals

Sinvou's products meet all applicable federal safety and warning requirements as enforced by the U.S. Food and Drug Administration, the Consumer Product Safety Commission, and the Federal Communications Commission. Sinvou's products that are shipped to California are also subject to Proposition 65, otherwise known as the Safe Drinking Water and Toxic Enforcement Act of 1986. Proposition 65 requires consumer product warnings for products shipped to California that contain chemicals known to the state of California to include carcinogens or reproductive toxins unless such chemicals are present below established Safe Harbor Levels or are shown to be present in unharmful concentrations.

Decorating and printing inks used on Sinvou's products that are decorated in the USA have been fully tested and do not contain chemicals at concentrations that would require a Proposition 65 warning label. Safe Harbor Level limits have not been fully established by Proposition 65 for all materials used in Sinvou's products, however, we may be able to offer, upon request, certification of independently tested concentrations of specific chemicals for specific products.

To better serve our distributors, and assist them in complying with Prop 65 requirements, Proposition 65 warning be applied to their products prior to shipment:

WARNING: This product may contain chemicals known to the state of California to cause cancer, birth defects, or other reproductive harm. This warning label will ensure compliance with California Proposition 65 regulatory requirements and can be applied for an additional cost of $0.13 (v) per item. Any shipment going to California will automatically receive a Prop 65 label.
